STANDARD TERMS AND CONDITIONS OF SALE
- Applicability and Acceptance
By placing an order with Plain Goods, the client agrees to these Terms and Conditions, which take precedence over any conflicting terms in the client’s standard terms and conditions, even if received after these Terms and Conditions. Any modifications or deviations must be agreed upon in writing by both parties. - Payment Terms
- All invoices are payable within 21 working days, unless otherwise specified on the invoice or order.
- In case of late payment, Plain Goods reserves the right to charge a fixed late payment interest of 10% on the outstanding balance.
- If payment is overdue by more than 60 days, Plain Goods may engage a debt recovery agency, with all associated legal and collection costs payable by the client.
- Withholding Taxes
Some jurisdictions may impose withholding taxes on invoice amounts. The client is solely responsible for complying with local tax regulations and for remitting any such taxes directly to the relevant tax authorities. Under no circumstances shall Plain Goods be liable for any tax obligations arising from the client’s jurisdiction. The full invoice amount remains payable to Plain Goods, exclusive of any withholding tax requirements. - Service Provision and Liability
- Plain Goods will make every reasonable effort to deliver services efficiently and within the agreed timelines. However, delivery deadlines are estimates and not binding obligations.
- Plain Goods provides services on a best-effort basis and does not guarantee specific outcomes or results.
- The client may not hold Plain Goods liable for any claims, damages, or disputes initiated by third parties, including end consumers.
- Claims and Disputes
- Any claims regarding goods or services must be submitted in writing via registered mail to Plain Goods’ registered office within 8 days of delivery or service completion.
- Claims submitted beyond this period will not be considered.
- Governing Law and Jurisdiction
All contractual agreements between Plain Goods and the client shall be governed exclusively by the laws of Canada. Any disputes arising from these Terms and Conditions shall be subject to the exclusive jurisdiction of Canadian courts.
